JKO Systems provides marketing, lead-generation, SEO, local search visibility, reputation management, automation, CRM, messaging, AI-assisted tools, and related services to service businesses. Services may include:

• Client Reactivation
• In-the-Field Mobile App

Services may change, be modified, discontinued, or supplemented over time. The specific services you receive are those described in your order, subscription, proposal, or service agreement.

JKO Systems offers services and subscriptions generally within a pricing range of approximately $97–$997. Actual pricing is determined by the product, package, offer, subscription, or order you select. The applicable price presented to you at the time of purchase controls.

JKO Systems subscriptions renew automatically unless you cancel. Here's how that works, in plain language:

• Your subscription renews automatically at the end of each billing cycle unless you cancel before the renewal date.
• The recurring price is the price in effect for your subscription at the time of renewal.
• Billing frequency (for example, monthly or annually) is based on the plan you selected.
• The recurring charge occurs on or around the renewal date for each billing cycle.
• You may cancel at any time.
• Cancellation stops future renewal charges. It does not retroactively reverse charges already incurred, unless otherwise required by law.

To cancel, use the cancellation method made available to you through your account or contact us at info@jkosystems.com. We aim to keep the cancellation method straightforward and consistent with the way you purchased your subscription, to the extent required by applicable law.

JKO Systems does not require a long-term contract for its standard subscriptions. You may cancel at any time. Nothing in these Terms is intended to prevent you from ending your subscription, subject to the billing terms above.

JKO Systems's policy is no refunds. Payments are non-refundable, except where a refund is required by applicable law or is expressly agreed to in writing by JKO Systems. We do not create refund exceptions that have not been authorized.

JKO Systems provides services and systems designed to improve visibility, lead handling, and marketing performance. However, marketing performance depends on many factors outside our control, and we do not guarantee any specific outcome.

JKO Systems does NOT guarantee:

• Google rankings or Google Maps rankings
• Google Business Profile placement
• Google AI Mode placement
• Gemini, ChatGPT, or Perplexity recommendations
• AI search placement
• Search-engine rankings
• The number of leads, calls, appointments, or customers
• Revenue, sales, or conversion rates
• The number of reviews or review ratings
• Advertising performance
• Local Services Ads lead volume
• Any specific business result

This disclaimer does not undermine the value of the Services. It simply makes clear that we provide services and systems designed to help — not guaranteed outcomes.

The Services may rely on third-party platforms, including Google, our CRM and automation platform, Stripe, YouTube, Facebook, Instagram, LinkedIn, and others.JKO Systems does not control these platforms and is not responsible for:

• Platform outages or service interruptions
• Algorithm changes
• Policy or terms changes
• Account suspensions
• API changes
• Pricing or feature changes
• Changes to search results or AI recommendations

References to Google, OpenAI, Microsoft, Meta, Anthropic, Perplexity, Gemini, and other third-party companies are descriptive only. JKO Systems is not affiliated with, endorsed by, or sponsored by these companies unless an actual relationship exists and is documented. Nothing in these Terms or on the Website implies otherwise.

Some Services include AI-assisted features. AI may produce responses, recommendations, classifications, messages, or other outputs that contain errors. You are responsible for reviewing and approving information and outputs where appropriate before they are sent to customers or published. We do not represent AI outputs as guaranteed accurate.

You are responsible for providing accurate information and for having the necessary rights, permissions, and authority to provide content, customer information, business information, trademarks, photographs, videos, reviews, contact lists, and other materials you supply to JKO Systems. You must not use the Services for any unlawful, fraudulent, deceptive, abusive, or otherwise prohibited activity.

The Services may include automated SMS, email, and telephone communications. You are responsible for ensuring that your use of JKO Systems's communication tools complies with applicable laws and regulations, including consent, disclosure, identification, opt-out, and recordkeeping requirements that apply to your business and the people you contact.

JKO Systems may suspend communication functionality where it reasonably believes the tools are being used unlawfully or abusively.

JKO Systems owns its branding, website content created by us, software and configurations, templates, systems, processes, and other proprietary materials used to provide the Services. These remain our property.

Materials specifically created for you as part of the Services are yours, subject to your payment in full and any applicable third-party rights. We do not claim ownership over content you own.

You retain ownership of the content and information you provide to JKO Systems. You grant us the rights necessary to use, process, and display that content to provide the contracted Services. You represent that you have the right to provide such content and that it does not violate applicable law or the rights of others.

By purchasing Services, you authorize us to charge the payment method you provide for all amounts due, including recurring billing for subscriptions. You are responsible for any applicable taxes. If a payment fails, we may attempt to charge it again or contact you to update your payment information. We may suspend or terminate Services for unpaid balances.

Payment processing may be provided through Stripe and may be subject to Stripe's own terms, policies, and practices. JKO Systems is not responsible for Stripe's handling of payment information beyond what is necessary to process your transactions.

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by applicable law, JKO Systems and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Website or Services.

Our total liability for any claim arising out of or related to these Terms or the Services shall not exceed the amount you paid us for the Services giving rise to the claim during the relevant period. This limitation applies to the maximum extent permitted by law and does not waive any rights that cannot legally be waived.

To the maximum extent permitted by law, you agree to indemnify and hold JKO Systems harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your content, your violation of applicable law, or your violation of these Terms, subject to applicable law.

You may cancel your subscription at any time. JKO Systems may suspend or terminate your account or access to the Services for nonpayment, abuse, unlawful activity, security concerns, violation of these Terms, or other legitimate business reasons. Termination does not eliminate any amounts you already owe.

We may update these Terms from time to time. When we do, we will post the updated version on the Website with an updated "Last Updated" date. Where material changes are appropriate to communicate, we will do so through the Website or another reasonable method. Your continued use of the Website or Services after changes take effect means you accept the updated Terms.

These Terms are governed by Florida law, without regard to conflict-of-law principles, subject to any applicable federal law and any mandatory consumer protections that cannot legally be waived. We have not specified a particular Florida county for venue unless one is established elsewhere.

Any dispute arising out of or related to these Terms or the Services will be handled under applicable Florida law and in courts of competent jurisdiction, subject to applicable law and to any rights you may have that cannot legally be waived. We have not included mandatory arbitration, a class-action waiver, a jury-trial waiver, or a specific court or venue in these Terms unless and until those provisions are intentionally added and legally reviewed.

If any part of these Terms is found to be unenforceable or invalid, that part will be limited or removed to the minimum extent necessary, and the remaining Terms will continue in full force and effect.

These Terms, together with any applicable order, subscription agreement, proposal, or service agreement, constitute the entire agreement between you and JKO Systems regarding the Services.

If JKO Systems enters into a separate written service agreement with you, the terms of that specific agreement may control where they conflict with these general website Terms.
